FDD REVIEW PHONE CALL
Then, we get on another phone call and discuss the FDD, making sure that our potential buyer understands the ins and outs of the franchise

DISCOVERY DAY
We then move on to discovery day, where we meet with the potential franchise buyer face to face and get to learn more about one another

MEET STEVE GARDNER
Steven Gardner has 25 years of demonstrated experience in Franchise Sales, Development, Brokerage, and Real-Estate. Steven has represented numerous national concepts as outsourced Franchise Development Director and in some instances Real Estate Director of the brand. These engagements would include Chock Full O’ Nuts, Original Soupman, Energy Kitchen, 16Handles, Stewart’s All American among numerous others.
He has a bachelor’s degree in Business Administration from Boston University. Quoted in numerous Franchise Business and Real Estate Magazines. He has sold numerous Area Developers in all of the major US Markets. In addition, he has transacted hundreds of Franchise Agreements including an International Master Development Deal for 150 stores in 5 GCC Countries.
He has been directly involved in over 1000 transactions in his career. Currently engaged with affiliates as an outsourced Franchise and Business Development Director for multiple Regional/ National Retail Franchise Brands. Specialties include start-up development programs, strategic brand consulting, marketing, public relations platforms, and lead generation support as well as multi-unit/ area development sales transactions. In addition, support and creation of financial business plans, projections, and sales deck presentations from Industry CFO's to investors and private equity companies at The CapX Events with success for multiple clients.
MEET BIMAL BHOJANI
Many people never have the fortune of discovering their passion; others never get the chance to explore it. Bimal Bhojani, Founder, CEO, and Chief Operating Officer of Raining Berries, has been lucky enough to do both. Born in Kampala, Uganda, he immigrated to England with his family at several months old due to political tensions in the country. There, his parents Praphul (Ron) and Chandrika worked hard to build a solid foundation for the future. When the rest of their extended family became refugees at the hands of Idi Amin's Ugandan regime, Bhojani's parents took in and supported them in England until they could get on their feet.
Bhojani's love for people, community, and coffee led him to Raining Berries. Since coming up with the idea, he has dedicated himself wholeheartedly to the project. He wants to revolutionize the industry by combining a conference room system and state-of-the-art facilities to maximize customer satisfaction while incorporating sustainable options and products. After years of working in the Sporting, Banking, and Private School sectors, this is Bhojani's passion project. He is combining his devotion to family, inclusion, and learning by bringing people together with the way he knows how: through sharing a cup of coffee. In his free time, Bhojani enjoys long-distance running, CrossFit, traveling, and following his beloved soccer team Liverpool FC. He is also a Governor Appointed Chairman of The Early Learning Coalition of Pasco & Hernando Counties in Florida. With Raining Berries, he hopes to give back to his native Uganda through various personal causes. Opening its first corporate store in Lutz, FL, in early January 2020 the company is projected to be the fastest growing franchise in their segment
MEET EVAN GOLDMAN
Evan is a leading expert on franchises, working closely with both franchisor and franchisee clients to draft, negotiate, and register disclosure documents, franchise agreements, and related key documentation. Evan represents franchisor and franchisee clients in dispute categories such as termination issues, breach of contract, trademark infringement disputes, fraud claims, employment matters, and enforcement of non-competition.
As a partner at The Franchise Firm, Evan lends his expertise to business litigation matters, including partnership disputes, and construction, labor, and discrimination lawsuits.
Prior to joining The Franchise Firm, Evan served as Chair of the Franchise Law practice group at Hill Wallack LLP, and served as law clerk to the Honorable Barry P. Sarkisian, J.S.C. (Ret.), of the Superior Court of New Jersey, Hudson County.
MEET ANTHONY FANTUAZZI
The founder of The Fantauzzi Law Firm, Anthony Fantauzzi has been a civil litigator and trial lawyer in the Tampa Bay area for over 20 years. He received his Bachelor’s degree, Magna Cum Laude, from Union College, where he played intercollegiate Varsity Football and was the college’s 1995 Rhodes Scholar Candidate.
He obtained his law degree from the University of Miami School of Law, and prior to the founding his eponymous firm, was a member and partner at two of Florida’s oldest and most respected corporate law firms; Fowler White Boggs Banker, P.A. and Shutts & Bowen, LLP, respectively. He is “AV” Preeminent® 5.0 out of 5.0 Peer Review Rated™ by Martindale-Hubbell®, was selected as a “Rising Star” in 2009 by Super Lawyers magazine, was chosen as one of Florida’s “Legal Elite” in 2010 by Florida Trend magazine, is a life member of the Million Dollar Advocates Form, and is was inducted into the Top 100 High Stakes Litigators in 2019.
He is the former President of the Hillsborough County Bar Association Young Lawyers Division and a former Chair of the Florida Bar Grievance Committee (13D).
MEET RICHARD DAVIES
Richard Davies QFP, a prominent figure in the franchising world known for advocating ethical franchising practices since 1997, has embarked on an exciting new venture with Bimal Bhojani and the executive team of Raining Berries. Together, they share a vision to establish Raining Berries as a global franchise, rooted in the brand's core values and ethics. Richard's enthusiasm for this partnership is driven by a mutual commitment to creating outstanding experiences and fostering successful franchise partners worldwide.
Throughout his career, Richard has held significant positions within the British Franchise Association (BFA), including roles in Recruitment, Member Retention, and Standards, and has served as the Past Affiliate Chair. His contributions have been vital in strengthening the BFA's influence in the industry.
As a key figure in media representation for franchising, Richard was instrumental in launching and leading What Franchise and Global Franchise media platforms. His leadership over the past two decades has greatly influenced global perspectives on franchising.
In his current role as a consultant, Richard utilizes his extensive network and expertise to assist franchisors in their international expansion efforts. His active involvement in the International Franchise Association's (IFA) International Committee and its Subcommittee for IFA Membership, along with his collaboration with the Canadian Franchise Association (CFA) Board, continues to highlight his influential role in the sector and his unwavering commitment to promoting franchising opportunities and upholding industry standards.
MEET STEVE CULBREATH
Steve Culbreath has been involved as a lawyer in U.S. immigration practice for over 20 years, calling the greater Tampa Bay metropolitan area his home. During his exemplary legal career, he has assisted many hundreds of clients from all over the world to create and fulfill their own American Dream. Steve has been a registered member of the American Immigration Lawyers Association (AILA) since 2004, and has continually earned the prestigious "AV-Rating" from Martindale-Hubbell, and the "10/10 Superb Rating" from Avvo.com. In addition to his busy legal practice, Steve has authored many articles, including books on AMAZON, on U.S. immigration law, and a book on Cryptocurrency investing, one on investing in physical precious metals, and one Beekeeping. Steve has also previously served as an Adjunct Professor at St. Petersburg College in the Paralegal Studies department, teaching an introductory immigration law course to paralegal students seeking a Bachelor's Degree. In terms of service to the legal community at large, he also served 3 years as a volunteer attorney on the Florida Bar’s Committee of Unlicensed Practice of Law (UPL) for his local judicial district, helping combat fraud and malpractice committed by unlicensed individuals on members of the public. Having spent 20 years of his formative years in Germany, he is a native-speaker of German. As part of his law practice with heavy emphasis on business- and entrepreneur- immigration, Steve is highly experienced and well-versed with the intricacies of assisting foreign nationals and entities in setting up business operations in the United States. As the Chief Legal Advisor for Immigration matters for Raining Berries, he helps ensure
that prospective foreign franchise owners are well-situated and qualified (legally and
financially), to secure their business in line with U.S. Immigration regulations and visa
requirements:
● possessing the requisite nationality or citizenship required under reciprocal
treaties
● being able to adequately being able to document the legal source, possession
and control over liquid funds (min. $750k), to allocate to the U.S. Business
enterprise
● demonstrating requisite assets and or liquidity to safeguard private and personal
living expenses in the United States for an initial period of 24 months.
● Possessing the requisite business accumen to competently own and operate a
viable and profitable business enterprise with minimal outside intervention.
● Being able to pass all required U.S. security and background checks, including
good moral character.
● Not being otherwise ineligible to receive U.S. immigration or visa benefits needed
to operate the U.S. business enterprise, including the requirement to apply for
and hold certain U.S. licenses (where necessary).
