By accessing or using this Portal, you acknowledge and agree to the following Terms & Conditions.
1. Purpose of the Portal
The Raining Berries Franchise Portal serves as an official resource for franchise operations, brand standards, training materials, policies, procedures, announcements, and other operational information.
The Portal is intended to support consistency, quality, and operational excellence across all Raining Berries locations.
Information provided through the Portal may form part of the Raining Berries Operations Manual and established franchise operating standards, as described in the applicable Franchise Agreement.
2. Authorized Access
Access to the Portal is restricted to authorized Raining Berries franchisees and approved personnel.
Users agree to:
- Maintain the confidentiality of their login credentials.
- Access and use the Portal only for authorized Raining Berries business purposes.
- Refrain from sharing login information with unauthorized individuals.
- Notify Raining Berries promptly of suspected unauthorized access or security breaches.
- Ensure that employees who no longer require access have their permissions removed.
Raining Berries reserves the right to manage, restrict, suspend, or revoke Portal access when reasonably necessary to protect confidential information, maintain system security, or address unauthorized use, subject to applicable contractual obligations.
3. Compliance With Brand Standards
Franchisees are responsible for operating their locations in accordance with the standards, policies, and procedures established by Raining Berries, as required under their applicable Franchise Agreement.
These standards may include, but are not limited to:
- Product preparation, recipes, presentation, and quality.
- Food safety, sanitation, and cleanliness.
- Approved products, ingredients, equipment, and suppliers.
- Branding, signage, uniforms, and marketing materials.
- Customer service and guest experience.
- Technology systems, point-of-sale procedures, and loyalty programs.
- Employee training and operational checklists.
- Store maintenance and daily operating procedures.
Franchisees are responsible for ensuring that their management teams and applicable employees understand and implement the standards relevant to their responsibilities.
Failure to comply with applicable operating standards may result in corrective action in accordance with the Franchise Agreement and applicable law.
4. Updates to Policies and Procedures
Raining Berries may revise, replace, or introduce operational policies, procedures, training materials, and brand standards as the franchise system evolves.
Updates may be communicated through the Portal, email, operational announcements, or other official communication channels.
Franchisees are responsible for regularly reviewing official communications and implementing applicable updates within the established timelines, subject to the Franchise Agreement and applicable law.
Where the Franchise Agreement authorizes changes to operating standards, such updates will be governed by that agreement. Nothing in these Terms independently authorizes amendments that would otherwise require additional consent, notice, or documentation.
5. Confidentiality and Proprietary Information
All nonpublic materials provided through the Portal are confidential and proprietary to Raining Berries or its applicable licensors.
Such materials may include:
- Operations manuals, recipes, formulas, and preparation methods.
- Training materials, internal communications, and business procedures.
- Marketing strategies, promotional plans, and brand assets.
- Supplier information, pricing arrangements, and business processes.
- Financial, operational, and other nonpublic company information.
Users agree not to reproduce, distribute, publish, sell, disclose, or otherwise make confidential materials available to unauthorized parties without prior written authorization from Raining Berries.
Limited internal use and reproduction are permitted when reasonably necessary for authorized franchise operations and consistent with Raining Berries policies.
Confidentiality obligations do not prohibit disclosures authorized by Raining Berries, required by applicable law, or made to legal or professional advisers under appropriate confidentiality protections. Nothing in these Terms restricts lawful reporting to government authorities or other legally protected activities.
6. Intellectual Property
All Raining Berries trademarks, logos, designs, training resources, photographs, recipes, manuals, and other proprietary materials remain the property of Raining Berries or their respective owners.
Access to the Portal does not grant ownership or any additional intellectual property rights beyond those expressly authorized under the applicable Franchise Agreement.
Users may not modify, reproduce, or distribute proprietary materials for purposes unrelated to authorized Raining Berries operations without written permission.
Uploading confidential Portal content to public websites, unauthorized artificial intelligence platforms, or other external systems is prohibited unless expressly approved by Raining Berries.
7. Franchisee Responsibilities
Franchisees are responsible for the management and operation of their independently owned businesses.
Each franchisee is responsible for:
- Maintaining compliance with applicable federal, state, and local laws.
- Ensuring employees receive appropriate training and supervision.
- Maintaining required business licenses, certifications, and permits.
- Implementing applicable Raining Berries brand standards.
- Monitoring operational performance and addressing identified deficiencies.
- Keeping relevant staff informed of operational updates.
The Portal provides operational resources and guidance but does not replace professional legal, accounting, employment, or regulatory advice.
8. Accuracy and Use of Information
Raining Berries endeavors to provide current, accurate, and useful operational information through the Portal.
Users should refer to the most recent official procedures and communications when implementing operational changes.
If information appears inconsistent, outdated, or unclear, franchisees should contact Raining Berries corporate management for clarification before implementing potentially conflicting procedures.
9. Portal Security and Monitoring
To maintain security and operational integrity, Raining Berries may collect and review Portal usage information, including login activity, access records, document acknowledgments, and related system activity, as permitted by applicable law and the applicable privacy notice.
Users must not attempt to bypass security controls, interfere with Portal functionality, or gain unauthorized access to restricted information.
10. Third-Party Resources
The Portal may contain links to third-party platforms, vendors, software providers, training services, or external resources.
These services may be governed by their own agreements, terms, and privacy policies.
Raining Berries is not responsible for the independent practices of third-party providers, except as otherwise required by applicable law or agreement.
11. Noncompliance and Corrective Action
Raining Berries may review franchise operational compliance through inspections, evaluations, reports, or other processes authorized by the Franchise Agreement.
When deficiencies are identified, franchisees may be required to take corrective action within applicable deadlines.
Any formal default notices, cure periods, remedies, or termination procedures will be governed by the applicable Franchise Agreement and applicable law.
12. Portal Availability and Access Termination
Raining Berries may perform maintenance, updates, or other modifications to the Portal.
Temporary interruptions do not relieve franchisees of their existing operational obligations. During extended interruptions, franchisees should contact corporate management for access to necessary operating guidance.
Upon expiration or termination of franchise rights, access to the Portal may be discontinued in accordance with the Franchise Agreement.
Former users must discontinue unauthorized use of confidential materials and return or destroy such materials when required by their agreements, subject to applicable legal retention requirements.
13. Relationship to the Franchise Agreement
These Terms govern access to and use of the Raining Berries Franchise Portal.
They do not replace, supersede, or independently modify any executed Franchise Agreement.
The applicable Franchise Agreement governs the respective rights and obligations of the franchisor and franchisee, including the status and enforceability of the Operations Manual.
In the event of a conflict between these Terms and the applicable Franchise Agreement, the Franchise Agreement will control, subject to applicable law.
Any disputes arising from the franchise relationship will be addressed in accordance with the dispute resolution provisions of the applicable Franchise Agreement, to the extent those provisions apply.
14. Changes to These Terms
Raining Berries may update these Portal Terms & Conditions periodically.
Updated Terms will be posted within the Portal, with a revised effective date. Where required, users will receive notice or be asked to acknowledge revised Terms.
Changes to these Portal Terms do not independently amend the substantive provisions of an existing Franchise Agreement.
